_” We are seeking a *Staff Attorney* to partner with our _experienced _legal services team in this environmentally focused industry.
A *Staff Attorney* at Smith and Loveless is responsible for managing, communicating, researching and advising on corporate legal activities which include, but are not limited to, negotiating, reviewing, drafting and amending contracts for the sale of company products, equipment purchases, and miscellaneous matters.
This position is also responsible for communicating efficiently and effectively with contractors, vendors, customers and internal departments.
This individual will also perform legal research and assist with legal matters as required, including conducting various types of negotiations, if needed.
*Skills/Requirements* * Requires a Juris Doctor degree (with business/commercial law courses).
* 0-2 years experience in the field of contracts or business-related legal activity.
* Working knowledge and understanding of business/contract legal terms and conditions and ability to negotiate same to protect company interests.
* Very good verbal and written communication skills; supervisory skills; tact and sensitivity in dealing with confidential issues.
* Very good understanding of sales tax issues; good understanding of legal descriptions of properties.
* Proficient in utilizing Microsoft Word and Excel; ability to use Avante or similar ERP (enterprise resource planning) system and Microsoft Access Datelog reports; ability to use Maximizer or similar contact management software.
*Job Duties* * Review and negotiate contracts for sale of S&L equipment with minimum risk to Company and within guidelines established by Company.
* Interface with customers on delivery issues, contract compliance issues and interface with internal departments to ensure contract terms are met.
* Understand and file mechanics liens and bond claims as needed to protect Company’s interest.
* Assist in resolving conflicts with customers that arise to ensure protection of Company interests and timely receipt of payment for goods shipped.
This includes coordinating and providing assistance to the Credit Department and Customer Service Department.
* Review and negotiate purchase contracts for equipment and services needed for the operations of the Company to ensure the Company’s needs are met at the most favorable terms for Company.
Includes internal coordination and support of the Department purchasing the equipment or service.
* Assist Associate Corporate Counsel and Corporate Legal Counsel on management of litigation.
* Ensure President, Corporate Legal Counsel and Associate General Counsel are involved and aware of legal activities, strategic planning and implementation of transactions.
* Other duties as assigned by President, Corporate Legal Counsel, or Associate General Counsel.
* Keep work organized and maintain an orderly filing system and office.
