Job Overview: We are seeking a skilled and experienced In-House Corporate Counsel to join our legal team with a direct report to the General Counsel.
The ideal candidate will be responsible for handling a wide range of legal matters related to business operations, corporate governance, and litigation.
This role will involve providing legal advice and support to various departments within the company and its holding company and subsidiaries, ensuring compliance with laws and regulations, and representing the company in legal proceedings as necessary.
Key Responsibilities: Business Transactions: Draft, review, and negotiate contracts, agreements, and other legal documents related to business operations, including but not limited to vendor contracts, licensing agreements, and strategic partnerships.
Corporate Governance: Advise on corporate governance matters, including corporate and operational policies, compliance with regulatory requirements in all areas, and corporate structuring.
Litigation Management: Manage and oversee litigation matters, including assessing legal risks, developing strategies for dispute resolution, and representing the company in legal proceedings such as lawsuits, arbitration, and mediation.
Risk Management: Identify legal risks and issues that may impact the company's business activities and develop proactive strategies to mitigate those risks.
Compliance: Stay abreast of relevant laws, regulations, and industry standards to ensure the company's compliance with legal requirements, including data privacy, intellectual property, employment law, OSHA, and other regulatory matters.
Legal Advice and Support: Provide timely and accurate legal advice and support to the General Counsel, as well as to internal stakeholders, including executives, managers, and employees, on various legal matters affecting the company's operations.
Contract Management: Implement and maintain processes for efficient contract management, including contract templates, tracking key contract milestones, and ensuring compliance with contractual obligations.
Relationship Management: Build and maintain positive relationships internally with the Board, executives, operational leaders, and the internal risk management team as well as with external legal counsel, government agencies, and other relevant stakeholders.
Qualifications: Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the state bar.
Minimum of 3-5 years of relevant experience practicing law, preferably with a focus on business, corporate, and litigation matters.
Strong knowledge of contract law, corporate governance, regulatory compliance, and litigation procedures.
Excellent interpersonal and communication skills, both written and verbal, with the ability to convey complex legal concepts in a clear and concise manner.
Demonstrated ability to work independently, prioritize tasks, and manage multiple projects simultaneously in a fast-paced environment.
Sound judgment and analytical skills, with a strategic mindset and the ability to anticipate and address legal issues proactively.
Ability to work in a team setting seamlessly.
Experience working in-house at a corporation or in a law firm serving corporate construction clients is highly desirable.
